Terms & Policy for Panasonic Direct Malaysia
PLEASE READ THIS DOCUMENT CAREFULLY BECAUSE IT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.
This Contract contains the current terms and conditions that apply to your purchase from us on order of any product or products listed as shopping items on this Website ("Products"). You acknowledge that you are fully aware of the contents of these terms and conditions and, on placing any purchase order for the Products, you agree to be bound by and accept these terms and conditions.

1. DEFINITIONS
1.1 "PM", means Panasonic Malaysia Sdn. Bhd. (26975-W) who is selling products to the Customer as identified in PM’s order form.
1.2 "Product(s)" means product(s) and/or its/their peripheral product(s) by Panasonic listed as shopping items on this Website (including but not limited to Panasonic Products) and forming the subject matter of this contract as identified by Customer in the order form.
1.3 "Customer" means a person or legal entity who orders the Product(s) via this Website.
1.4 "Contract" means a contract containing these terms and conditions agreed upon between PM and the Customer for sale by PM and purchase by the Customer of the Product(s).
1.5 "Panasonic Product(s)" means product(s) sold under the trademark "Panasonic" and/or other trademarks owned or used by Panasonic and listed as shopping items on this Website.
1.6 "Accessories" means computer software, recording media such as cassette and video tapes, connecting cables, batteries, camera tripods and other optional or peripheral accessories sold for use with Panasonic Product(s).
1.7 "Order ID" means the Customer Reference Number automatically generated and provided to Customer by PM upon Customer placing an order.
1.8 "Working Day" means a day, from Monday to Friday which commercial banks in Kuala Lumpur are open for business, excluding Saturdays, public holidays and gazette public holiday.
1.9 "Order date" means the day when customer receive the notice of acceptance from PM.
1.10 "CCC" means PM Customer Care Centre.
1.11 "Panasonic" means Panasonic Corporation, Japan and such other related companies of Panasonic Corporation, Japan which is in the business of manufacturing Panasonic Product(s).

2. SALES CONTRACT
2.1 SALES & PURCHASE
PM shall sell and the Customer shall purchase the Product(s) in compliance with the Contract.
2.2 ORDER/ FORMATION OF PRODUCT
2.2.1 All orders of the Product(s) placed by the Customer via this Website shall be subject to acceptance by PM, which acceptance is at the discretion of PM. Upon the Customer placing an order, a unique Customer Order ID will be automatically generated and provided to the Customer to facilitate tracking of the Customer's order. The provision of such Order ID does not operate as an acceptance of the Customer's order and merely serves as confirmation that the Customer's order has been received by PM.
2.2.2 The Contract shall come into existence when the Customer receives a notice of acceptance of the order from PM. In the event that an order is rejected, PM is not required to give any reason for the rejection.
2.2.3 PM will only accept orders for delivery of the Product(s) to the street address of the Customer in Malaysia from residents of Malaysia who have attained the age of 18 years.
2.2.4 PM reserves the right to limit quantities of the Product(s) purchased in any order.
2.3 PRICE & PAYMENT
2.3.1 Pricing of the Product(s) shall be as stipulated in the official price lists published by PM from time to time in force as at the date of placement of orders by the Customer.
2.3.2 Product Prices include all Malaysian taxes that may be imposed on the transaction under the Contract but are exclusive of handling and delivery charges from PM to the Customer within Malaysia, which shall be borne by the Customer, unless otherwise stated.
2.3.3 The Customer shall pay for the Products in Ringgit Malaysia and can only pay by way of credit card wherein the procedures are as follows :-
The Customer shall furnish his or her valid credit card number when the Customer orders the Product(s) from this Website (only Visa or MasterCard are accepted). PM will verify the validity of the credit card with the relevant issuer and may then send the notice of acceptance if the credit card is acceptable. In the event that no validation is received from the relevant issuer within three (3) working days of the verification request by PM, the Customer's order shall be deemed cancelled. The Customer will be charged when the notice of acceptance is sent to the Customer. If the Customer's order is cancelled after payment has been validated by the credit card issuer but before a notice of acceptance by PM has been sent to the Customer, the Customer shall be liable for all fees, charges and costs (including but not limited to processing fees and charges) arising out of or in connection with the cancellation or reversal of the payment transaction.

3. DELIVERY
3.1 Delivery normally takes 5 to 14 working days from the date when the Customer receives a notice of acceptance of the order from PM and the delivery slip need to be signed by the recipient. In the event that Product(s) ordered have not been received after 14 working days following the confirmation of order, please contact the CCC at +603-5543 7600.
3.2 Delivery to Post Box is strictly not allowed. In the event PM received order to Post Box, PM shall be contacting the Customer for a valid delivery address. Should the Customer fail to provide a valid delivery address within 10 days from the order date, PM have the right to cancel the order and payment shall be refunded to customer within 45 days from the order date after deduction of the processing fee and delivery charges.
3.3 The delivery process will only be initiated after payment has been validated and a notice of acceptance has been sent to the Customer. PM shall endeavor to arrange to deliver the Product(s) to the delivery point in Malaysia designated by the Customer in his or her purchase order. PM will use its discretion in selecting a courier service and appropriate means of shipment, and shall endeavor to notify the Customer of the estimated date of delivery as soon as is reasonably possible upon request. Unless the Customer specifically nominates a named individual or individuals to take delivery of the Product(s) during the ordering process, delivery to any individual or individuals present at the delivery point in Malaysia designated by Customer in his or her purchase order shall be deemed good and sufficient delivery of the Product(s) to the Customer. Where the Customer has specifically nominated a named individual or individuals to take delivery of the Product(s), PM shall be entitled but not bound to request sight of the identity card or other identification document of the relevant individual or individuals at the time of delivery of the Product(s) to such individual or individuals, and may be entitled to accept any document purporting to identify an individual or individuals as the individual or individuals nominated by the Customer.
3.4 Any dates quoted by PM for delivery of the Product(s) are estimates only and shall not form part of the Contract. In no event shall PM be liable for increased expenses or delivery cost, loss of profits or goodwill or any other special, incidental direct or indirect or consequential damages due to late delivery or non-delivery of the Product(s).
3.5 PM may deliver the Product(s) by installments in any sequence. Where the Product(s) are so delivered by installments, each installment shall be deemed to be the subject of a separate Contract and no default or failure by PM in respect of any one or more installments shall vitiate the Contract in respect of the Product(s) previously delivered or undelivered Product(s) and the Customer shall be deemed to have accepted those installments already delivered.
3.6 In the event that PM gives notice to the Customer that it is unable to deliver any of the Product(s) or any part of an installment of the Product(s) within the period stipulated in this Clause 3.1 above, PM shall notify the Customer on its option whether the Customer wants to cancel the order of the Product(s) or any installment of the Product(s) undelivered whereby PM shall reimburse the price of the undelivered Product(s) that have been paid for by the Customer within 45 days from order date or the Customer has the option to proceed with the Order wherein PM shall notify the Customer on the expected date of delivery upon notification from the Customer.
3.7 If the Customer fails to take delivery of the Product(s) or any part of them when they are made available to the Customer or fails to provide accurate instructions, documents, licenses, consents or authorizations required to enable the Product(s) to be delivered, PM shall be entitled, upon giving verbally or written notice to the Customer, to store or arrange for storage of the Product(s), and then risk in the Products shall pass to Customer, delivery shall be deemed to have taken place, and the Customer shall pay to PM all costs and expenses (including storage and insurance charges) arising from its failure mentioned herein.

4. ACCEPTANCE
Unless the Customer notifies PM to the contrary by telephone, email or facsimile transmission within fourteen (14) days of delivery and such notification is confirmed in writing within fourteen (14) days of the notification, the Product(s) shall be conclusively deemed to have been accepted by Customer as being in good condition and in accordance with the Contract. Subject to the Customer's statutory rights, PM will not entertain any request to return or exchange Products. In the case of defective Product(s) under warranty which is declared by PM as a manufacturer defect (please refer to clause 7, service policy and warranty), PM reserves the right, at its sole discretion, to repair such defective Product(s) in lieu of replacing the same with equivalent products.

5. TITLE, RISK OF LOSS OR DAMAGE
Title and risk of loss or damage to the Product(s) shall pass to the Customer on the physical delivery of the Product(s) to the address identified by the Customer in the order. Notwithstanding the foregoing, title to the Product(s) that are software products shall remain with the applicable licensor(s).

6. SUPPORT
6.1 PM offers support to the Customer for Panasonic Product(s) through telephone, email or facsimile transmission.
6.2 PM will not offer support to the Customer for problems relating to any software or hardware products licensed or manufactured by any party other than Panasonic [or Panasonic Corporation, Japan]. If the Customer needs such support, Customer should contact the respective supplier or licensor of each such software or hardware product.

7. PANASONIC LIMITED WARRANTY
Panasonic Malaysia Sdn. Bhd.’s warranty obligations for Panasonic products are limited to the terms and conditions listed below:-
7.1 Panasonic Malaysia Sdn. Bhd. warrants the Panasonic product to be free from defects in materials and workmanship under normal use for a period of (stated in product warranty) year(s) (‘Warranty Period”) from the date of retail purchase by the original end-user purchaser.
7.2 This limited warranty applies to Panasonic products purchased in Malaysia from Panasonic Malaysia Sdn. Bhd. or from Panasonic Malaysia Sdn. Bhd.’s authorised dealers, whereby the products has been supplied by Panasonic Malaysia Sdn. Bhd.
7.3 This limited warranty is not valid unless the end-user purchaser provides the following:-
(a) the warranty card (which have not been altered, defaced or erased) duly completed and that Panasonic Malaysia Sdn. Bhd’s portion of the warranty card has been duly completed and posted to Panasonic Malaysia within seven (7) days of purchase of the product; or
(b) provide proof of purchase with a receipt (which is dated and sufficiently itemized to clearly identify the product); or
(c) the end-user purchaser have registered their product online to qualify automatically for the warranty at Panasonic Malaysia Sdn. Bhd. website http:/www.panasonic.com my.
7.4 If Panasonic Malaysia Sdn. Bhd. or Panasonic Authorised Service Dealers receives notice of a manufacturing defect or a defect of the Panasonic product arising from normal usage within the Warranty Period and a valid claim arises, Panasonic Malaysia Sdn. Bhd. has the following options :-
(a) repair the product at the cost of Panasonic Malaysia Sdn. Bhd., using part or parts which are new or equivalent to new in performance or reliability. Any part or parts replaced by Panasonic Malaysia Sdn. Bhd. or by Panasonic Malaysia Sdn. Bhd.’s authorised service dealers shall become the property of Panasonic Malaysia Sdn. Bhd.;
(b) exchange the product with a new product or equivalent to new in performance or reliability (whereby the function, performance and reliability is similar to the original product). The product for which the exchange is provided shall become the property of Panasonic Malaysia Sdn. Bhd.
7.5 This limited warranty for the product does not apply to the following:-
(a) accessories or consumable items such as batteries, lamp unit, ink cartridges and etc.;
(b) damage caused by normal wear and tear, improper use or mismanagement, operation of the product other than in accordance with the operating manual or instructions or attachment sheets, use of the product in a manner not reasonably contemplated by Panasonic Malaysia Sdn. Bhd., unauthorised modification of the Product or subjection of the product to unusual or unrecommended physical, environmental or electrical stress;
(c) cosmetic damage, including but not limited to dents, cracks, scratches and stains;
(d) damage caused by corrosion, oxidation or rust due to spillage of food and liquids or exposure to extreme moisture, thermal or environmental conditions;
(e) damage caused by improper testing, demonstration, maintenance, installation, adjustment or alteration of any kind;
(f) damage caused by part or parts of a product not supplied or approved by Panasonic Malaysia Sdn. Bhd.;
(g) damage caused by service or repairs performed by anyone who is not a representative of Panasonic Malaysia Sdn. Bhd. or a Panasonic Malaysia Sdn. Bhd. authorised qualified technician;
(h) the serial number of the product being removed, defaced, made illegible or been tampered;
(i) damage caused by using the product for household purposes in a commercial environment;
(j) damage caused by use with any other product, ancillary equipment or software not furnished or approved by Panasonic Malaysia Sdn. Bhd.;
(k) damage caused by failure to conduct regular maintenance or cleaning of the product or any part thereof (including but not limited to heads, internal cavities and user accessible filters) in accordance with the operating manual or instructions or attachment sheets;
(l) damage caused by pest, vermin or infestation of insects;
(m) damage caused by incomplete or improper installation in accordance with the operating manual or instructions or attachment sheets;
(n) damages caused by faulty or leaking batteries not manufactured by Panasonic;
(o) damage caused by improper packing during shipment of the product to Panasonic Malaysia Sdn. Bhd. or Panasonic Malaysia Sdn. Bhd.’s authorised service dealers;
(p) damage caused by accident, abuse, floods, fire, winds, earthquake, lightning or other external causes; and
(q) product maintenance demonstration, installation, routine servicing calibration and customisation of the product.
7.6 Please take IMPORTANT NOTICE of the following:-
(a) various product models have different specifications, function, display, appearance and performance and are not regarded as a defect in the product.
(b) for products containing data, please ensure that the date in the product has been fully “backed up” before it is handed to Panasonic Malaysia Sdn. Bhd. or Pansonic Malaysia Sdn. Bhd.’s authorised service dealers. Although Panasonic Malaysia Sdn. Bhd. will take reasonable efforts to return the product with all customer software programs, data or information stored on any media intact, however Panasonic Malaysia Sdn. Bhd. shall not be liable if during the repair of the product the contents in the product’s data storage media are altered, deleted or modified in any way.
(c) please refer to the User’s Guide/Operating Instruction to ensure that all the correct operation procedures have duly been followed. In particular, kindly refer to any troubleshooting guide that may have been supplied with the product.
(d) Panasonic Malaysia Sdn. Bhd. shall not be liable for any indirect, incidental, special, punitive or consequential damages or damages, including but not limited to any lost of profits, savings, data or loss of use, any third party claims, and any injury to property or bodily injury to any person, arising from or relating to the use of the product or arising from breach of warranty or contract, negligence, tort or strict liability, even if Panasonic Malaysia Sdn. Bhd, have been notified of the possibility of such damages.
7.7 In the event that the end-user purchaser requires service assistance, please contact the Panasonic Customer Care Centre at 03-5543 7600. Alternatively, the end-user purchaser may send the product to Panasonic Authorised Service Centre. Please provide full details of the product model number and serial number, date of purchase and proof of purchase/warranty card and a brief description of the fault/query when contacting our Panasonic Authorised Service Centre.
7.8 If Panasonic Malaysia Sdn. Bhd. determines that the claim is not covered under the warranty for whatever reason, the end-user purchaser will be duly notified. If the end-user purchaser authorises Panasonic Malaysia Sdn. Bhd. to repair the product which is not covered under the warranty, the end-user purchaser shall pay all the charges for all parts, shipping, and labour for the repair and return of the product.
7.9 PANASONIC EXTENDED WARRANTY
(a) Panasonic Extended Warranty (‘PEW”) is an optional add-on for Panasonic product owners who wish to extend their original product warranty period. As an added benefit, PEW covers only a one time claim from damages caused by lightning or fire.
(b) PEW is only offered from the time of purchase of the product and post purchase sign-ups are not allowed.
(c) The end-user purchaser is to contact the dealer from whom the end-user purchaser purchased the product from for any valid claim under PEW.
(d) Panasonic Malaysia Sdn. Bhd. will conduct diagnostic tests on the product to determine the cause of the failure or defect in the product before any claim would be validated.
(e) If Panasonic Malaysia Sdn. Bhd. validates a product under PEW, Panasonic Malaysia Sdn. Bhd. has the following options:-
(i) repair the product at the cost of Panasonic Malaysia Sdn. Bhd., using part or parts which are new or equivalent to new in performance or reliability. Any part or parts replaced by Panasonic Malaysia Sdn. Bhd. or by Panasonic Malaysia Sdn. Bhd.’s authorised service dealers shall become the property of Panasonic Malaysia Sdn. Bhd.; or
(ii) Exchange the product with a new product or equivalent to new in performance or reliability (whereby the function, performance and reliability is similar to the original product). Panasonic Malaysia Sdn. Bhd. will not refund the difference between the value of the replacement and the product. The product for which the exchange is provided shall become the property of Panasonic Malaysia Sdn. Bhd.
(f) Panasonic Malaysia Sdn. Bhd. may refuse to attend to any product installed in locations which are inaccessible and/or hazardous to its service agents.
(g) The end-user purchaser shall be liable for insurance, labour, delivery and transport charges for any products sent to Panasonic Malaysia Sdn. Bhd. and from Panasonic Malaysia Sdn. Bhd. to the end-user’s address or such other address the end-user purchaser so nominates.
(h) The end-user purchaser shall remove any option, feature, parts, accessories or attachments to the product prior to send the product for a claim under PEW failing which Panasonic Malaysia Sdn. Bhd. shall not be liable for and damage or loss of such option, feature, parts, accessories or attachments. The end-user purchaser shall also be liable for labour charges for removing and reattaching the option, feature, parts, accessories or attachments of the product.
(i) If Panasonic Malaysia Sdn. Bhd. determines that the claim is not covered under the PEW for whatever reason, the end-user purchaser will be duly notified. If the end-user purchaser authorises Panasonic Malaysia Sdn. Bhd. to repair the product which is not covered under the PEW, the end-user purchaser shall pay all the charges for all parts, shipping, and labour for the repair and return of the product.

8. CRITICAL COMPONENTS
The Product(s) are not authorized for use as critical components in life support systems or situations where failure to perform can reasonably be expected to cause significant injury to users or others. 9. CHANGES
PM may update or discontinue any of Product(s) and/or revise prices for the Product(s) listed as available items on this Website or elsewhere at any time. Therefore, the Customer agrees that changes between the shipped Products and the Products described in marketing materials (advertisements, catalogues, specification sheets etc.) may occur. All orders are accepted on these terms, which supersede any other terms appearing in this Website or elsewhere and shall override any other terms referred to by the Customer or in any course of dealing.

10. RESALE
The Customer agrees and warrants that the purpose of purchasing the Product(s) is for the Customer's own individual or personal use only, and not for resale. PM shall be entitled to refuse to accept orders placed by the Customer if the Customer breaches or PM, on reasonable grounds, suspects that the Customer will breach this warranty. The Customer shall not remove components from the Product(s) for resale.

11. EXPORT RESTRICTIONS
The Customer agrees to comply with all applicable export laws, regulations and orders of Malaysia, Japan and the United States of America. Specifically, but without limitation, the Customer agrees that it will not re-export or ship, directly or indirectly, any Product(s) or technical data in any form without first obtaining PM's prior written consent and the appropriate export or re-export licenses from the Government of Malaysia, the Government of Japan and/or the Government of the United States of America.

12. WAIVER/ INVALIDITY
Failure of PM to insist upon strict performance of any provisions hereof shall not be deemed a waiver of its right and remedies. If any provision of the Contract is deemed by a court to be unenforceable, the remainder shall stay in effect.

13. GOVERNING LAW
The Contract shall be governed by and construed in accordance with the laws of Malaysia. The parties hereto submit to the non-exclusive jurisdiction of the courts of Malaysia, that being the place where the Customer's order has been received and/or entered and accepted.

14. ENTIRE AGREEMENT
These terms and conditions may not be altered, supplemented, or amended by the use of any additional document(s) that purport to be an agreement of the parties. Any attempt to supplement or amend this document or to enter an order for the Product(s) that is subject to additional or altered terms and conditions shall be null and void and of no effect whatsoever.
